Disclaimers and Limitation of Liability
LIMITATION OF LIABILITY USER understands that, except for its obligations to pay www.citybusinesslisting.com damages under Section 9 hereto: (i) the total amount of damages that www.citybusinesslisting.com may recover from User related to this Application will not exceed the sum of the charges owed for the items of advertising at issue, plus late charges and other costs payable under Section 3; and (ii) City Business Listing agrees to waive any claim for damages to the extent such damages exceed this amount. USER agrees: (i) that the total amount of damages that it may recover from www.citybusinesslisting.com related to this Application will not exceed the lesser of (a) the amount (as determined by www.citybusinesslisting.com) by which the value of the item of advertising at issue was decreased or (b) the sum of the charges USER has paid for the items of advertising at issue (the lesser amount being referred to as the “Liability Cap”); and (ii) to waive any claim for damages to the extent such damages exceed the Liability Cap. www.citybusinesslisting.com will have no liability for any error, omission, or default with regard to items for which no charge is assessed. The limitation of liability in this Section 8 will apply to the full extent permitted by law, and it will apply to any claim that USER may have against www.citybusinesslisting.com any affiliate or agent of www.citybusinesslisting.com any party that provides fulfillment or other services related to this Application, or any “Third Party Distribution Contractors.” “Affiliate” means www.citybusinesslisting.com any of its subsidiaries and/or any of its affiliates. “Third Party Distribution Contractors” means third parties for whom www.citybusinesslisting.com provides a co-branded or private-label directory or through whom City Business Listing otherwise provides its directory services. The claims covered by this limitation of liability include, but are not limited to: any claims based on contract violations, torts (including but not limited to negligence or strict liability) or any other legal or equitable ground; any claims for lost business revenues, profits or the cost of other forms of advertising; any claims based on any error or omission in USER’s advertising; and any claims based on inaccessibility, interruptions, delays, defects, deletion of files or email, viruses or any failure of performance of www.citybusinesslisting.com. In no event will City Business Listing , any Affiliate or agent of www.citybusinesslisting.com, or any Third Party Distribution Contractor, be required to correct, or to give any special notice regarding, any error or omission in any Listing.
Indemnity
You acknowledge and expressly agree that use of the Sites is at your sole and own risk. You agree to defend, indemnify and hold the Companies and their affiliates as well as their respective directors, officers, trustees and employees harmless from any and all liabilities, costs and expenses, including reasonable attorneys’ fees, related to any violation of these Terms of Use by you or users of your account, or in any way arising out of the use of the Sites, including without limitation, the placement or transmission of any information or other materials on the Sites by you or users of your account.
Prohibited Use of the Sites
You shall not use the Sites in any way that would interfere with their operation nor submit any information, material or content to the Sites that violates any law. Furthermore, you shall not post, upload, publish, transmit or otherwise distribute on the Sites any information, material, or content that:
(a) could constitute a criminal offence, including without limitation, any crimes relating to pornography, threats, intimidation, hate, assault, or fraud;
(b) could defame, abuse, harass, threaten or otherwise interfere with or harm the contractual, personality, confidentiality, privacy or publicity, moral or statutory or any other rights of any person;
(c) Could infringe the intellectual property rights including without limitation any copyright, trade-mark, or patent, of any person;
(d) could be considered as a use of the Sites that is contrary to law or electronic etiquette, or which would adversely impact the use of the Sites or the Internet by other users, including the posting or transmitting of information or software containing viruses or other disruptive components;
(e) Contains any distasteful or offensive material including, but not limited to, material intended for an adult audience;
(f) Contains: (i) commercial content, including without limitation, advertising, solicitation, offer to sell any goods or services, or (ii) advertising, solicitation, offer to join any organization whatsoever, or (iii) surveys, contests, or chain letters; or
(g) Encourages, conspires, entices or promotes the occurrence of any of the prohibited conduct stipulated herein.
The Companies reserve the right to remove any information, material or content that you post, upload, publish, transmit, distribute or otherwise use on the Sites at any time, at its sole discretion and without prior notice.
Hyperlinking to the Sites
You may create a link (the “Hyperlink”) to one or more of the Sites provided that:
(a) You do not replicate any of the Content of the Sites;
(b) You do not create a frame or any other bordered environment around the Sites or any of the Content contained on the Sites;
(c) The Hyperlink shall not imply any endorsement of any product or services;
(d) The website linking to the Sites does not contain distasteful or offensive material including, but not limited to, material intended for an adult audience and pornographic material; and
(e) The website linking to the Sites does not contain any information, content or material that would interfere with the operation of the Sites nor which libels, defames, invades privacy, is obscene, abusive or threatening, infringes intellectual property laws or violates any other laws.
The Companies may withdraw your right to link to the Sites at any time in their sole discretion.

All the items on City Business Listing (including, without limitation, the texts, articles, photographs, images, illustrations, audio and video, etc.) are protected by copyright and belong to City Business Listing or third parties acting as content providers. The Content may not be otherwise used, reproduced, broadcast, modify, publish, distribute, published or retransmitted without the prior written permission of the copyright holder.
Cancellation
The customer understands that you may return any product within 30 days of purchase by paying a cancellation fee. Distribution, and production costs allow for a 50% Cancellation Fee.
Registered User Accounts
Various services, including the ability to upload and manage information related to your personal or business listings may be available on the City Business Listing Site (the “Services”), and access to such Services including any related material, software, information, data and other content (“Content”) may require you to register with the City Business Listing Site. Where you wish to access Services that require you to register, you agree to provide accurate and current information about yourself as required by the relevant registration process, and to promptly update such information in order that it is kept accurate and complete. You further agree that you are responsible for: (a) maintaining the confidentiality of any passwords or other account identifiers which you choose or are assigned as a result of registration; and (b) all activities that occur using such password or account. Further, you agree to immediately notify City Business Listing of any unauthorized use of your password or account. City Business Listing will not be responsible or liable, directly or indirectly, in any way for loss or damage of any kind incurred as a result of, or in connection with, your failure to comply with this section.
